1. About us

These Terms & Conditions govern the provision of AI automation services by AIinvox, a trading name of M Ventures LTD, registered in England and Wales (company number 15554493), registered address: 4 Beau Street, Bath, United Kingdom, BA1 1QY.

By engaging our services, you agree to these terms. These terms apply to B2B engagements only.

2. Services

AIinvox provides AI automation consulting, workflow design, implementation, and related services as agreed in each project scope. The specific deliverables, timelines, and fees for each engagement will be set out in a separate Statement of Work or project agreement.

3. Client obligations

You agree to:

  • Provide accurate information, access, and materials reasonably required to deliver the services.
  • Ensure you have the right to share any data or content provided to us.
  • Designate a point of contact to facilitate timely decision-making.

4. Fees and payment

Fees are as agreed in each project scope. Invoices are payable within 30 days of issue unless otherwise agreed in writing.

Late payments accrue statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 at 8% above the Bank of England base rate, plus reasonable recovery costs.

5. Intellectual property

Unless expressly agreed otherwise in writing, upon receipt of full payment for a project:

  • Deliverables specifically created for you under a project are assigned to you.
  • AIinvox retains ownership of all pre-existing tools, frameworks, methodologies, and know-how used to create the deliverables. We grant you a perpetual, non-exclusive licence to use these as embedded in the deliverables.
  • Any AI model weights, third-party tools, or open-source components remain subject to their original licences.

6. Confidentiality

Both parties agree to keep confidential any non-public information received from the other party and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination of the engagement.

7. Data protection

Each party shall comply with its obligations under applicable data protection law, including UK GDPR and EU GDPR where relevant. Where AIinvox processes personal data on your behalf as a processor, a Data Processing Agreement (DPA) will be put in place in accordance with Article 28 UK/EU GDPR.

8. Use of AI tools

Our services may involve the use of AI models and automation tools. We will disclose the specific tools used in each engagement. You acknowledge that AI-generated outputs may require human review before use in production systems. AIinvox does not warrant that AI outputs will be error-free.

If our services are used in connection with decisions that significantly affect individuals, you are responsible for ensuring compliance with applicable AI regulations, including the EU AI Act and applicable US state laws.

9. Limitation of liability

To the maximum extent permitted by law:

  • Our total aggregate liability to you under or in connection with any engagement shall not exceed the total fees paid by you to us in the 12 months preceding the event giving rise to the claim.
  • Neither party shall be liable for indirect, consequential, special, or punitive damages, loss of profits, loss of revenue, loss of data, or loss of business opportunity.

Nothing in these terms limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

10. Termination

Either party may terminate an engagement with 30 days' written notice. You will pay for all work completed up to the termination date. Clauses 5, 6, 7, and 9 survive termination.

11. Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales, unless otherwise agreed in writing for international clients.

12. Changes to these terms

We may update these terms from time to time. Material changes will be communicated to active clients. Continued engagement after notice constitutes acceptance.
